Terms of sale and use

The agreement between you and Colormetric Labs.

Version 2026-09-22 · in effect from 2026-09-22

1. Who you are contracting with

colormetriclabs.com is operated by Prajwal Naik, Kumta, Karnataka, India (“we”, “us”), trading as Colormetric Labs. Contact: support@colormetriclabs.com.

By creating an account, downloading the software, or buying a product you accept these terms. If you do not accept them, do not use the products.

You must be at least 18, or otherwise have legal capacity to make this purchase where you live. If you buy for a company, you confirm that you are authorised to bind it. The products are not directed to children.

2. What you are buying

Every product is sold as a one-time purchase. There is no subscription and no renewal fee. What you receive is a licence to use the software or files — not ownership of them. We retain all intellectual property rights in the products.

Licensed products — the plugins — grant you a perpetual, non-exclusive, non-transferable licence for your own commercial and personal work. You may install a licensed product on as many computers as you like and have it activated on up to 3 of them at any one time. You may deactivate a computer from your account, or replace one during activation, as often as you need.

Products that use your own API key. One plugin, Metis, works by sending requests to an AI provider — Anthropic, Google or OpenAI — using a key you supply. That key is yours: the account is yours, the provider's terms apply to you, and the usage is billed to you by them. We do not resell model access, we take no share of what you spend there, and we cannot see, cap or refund it. What you buy from us is the plugin.

Those requests go from your computer directly to the provider you chose. They do not pass through us, so we cannot be responsible for what a model returns, for what a provider does with what you send, or for a provider changing its prices, its models or its terms. Judge any suggestion it makes the way you would judge a colleague's — it is a suggestion, and you decide.

Download-only products (such as LUTs, presets and packs) grant you a perpetual, non-exclusive, non-transferable licence to use the files in your own projects, including commercial ones. There is nothing to activate. You may not redistribute the files themselves, in original or modified form, as a product or as part of one.

Each product page states which of the two it is before you buy.

3. Free and unlicensed use

A product page may offer an unlicensed evaluation. Rendering effects may remain fully functional while placing a visible watermark over output. Workflow panels may allow browsing, previewing and editing while requiring a paid licence before they write or apply a result. Download-only products may have no free evaluation because supplying the files supplies the product itself. The applicable product page states the exact behaviour before you buy.

Watermarked output is not licensed for delivery to a client or public distribution. Preview-only or edit-only access is not permission to bypass the paid write gate. A paid licence enables the paid capabilities described on the product page.

4. How activation works

Each activated computer holds a cryptographically signed authorisation valid for approximately 30 days, which renews automatically in the background whenever the computer is online. This is what lets the software keep working while you are offline or travelling.

The renewal is automatic and recurring, and you should know it happens. While the software is running it checks in with us at most about once a day, and once more each time you load the plugin. It does not contact us while it renders a frame or applies a result — those are decided entirely on your own computer, from the authorisation already held there. A check-in identifies the activated computer and the plugin version; it never sends your projects, your footage, or what you are working on. The complete list of what is sent, and what we record, is in the privacy policy.

Your licence itself does not expire. What the authorisation does is prove the licence is still yours, and proving that requires reaching us occasionally. After 3 days without contact the software tells you so; after 7 days it returns to its stated unlicensed behaviour — such as watermarking output or disabling paid write actions — until it can verify the licence again. It never deletes your work and never removes the software, and a single successful check-in restores it immediately — your licence itself has not expired.

We are describing this plainly because it is also what happens after a refund: we stop renewing authorisations when ownership ends, and a computer kept offline to outlast that reaches the same point on its own. If you work somewhere without a connection for long periods, connect the computer to the internet once before you go.

5. What you may not do

You may not:

  • resell, sublicense, rent, lend or redistribute a product, or share your account credentials;
  • circumvent, disable or attempt to circumvent activation, the watermark, the computer limit, or any licence-verification, integrity or leak-tracing measure in a product;
  • reverse engineer, decompile or disassemble a product, except to the extent that applicable law expressly permits it despite this restriction;
  • remove or alter any copyright or attribution notice;
  • remove, obscure, degrade or attempt to recover or defeat the invisible per-licence identifier that licensed output carries;
  • use a product to develop a competing product.

Output rendered by a licensed copy carries an invisible marker that identifies the licence it was produced under — not you, and not your computer. It exists so that a file leaked from an unlicensed or tampered copy can be traced to the licence responsible, and it does not change how the image looks. Watermarked (unlicensed) output does not carry it. The privacy policy describes what it is and is not.

Each product also verifies, on your own computer, that its program files are the ones we released, and treats a copy that has been patched or tampered with as unlicensed. This check runs entirely on your machine; nothing about it is sent to us.

If you materially breach these terms we may suspend or revoke the licence. Where the breach can be put right, we will tell you what is wrong and give you a reasonable opportunity to fix it first.

6. Payment

Prices are shown on each product page and are charged in the currency displayed at checkout. Payments are processed by Razorpay; we do not receive or store your card or bank details. Taxes are charged where applicable and shown before you pay.

You may ask for a refund within 15 days of payment. After that we do not offer one as a matter of policy. Where a free evaluation exists, use it before purchasing. A refund ends the licence, and the product returns to its stated unlicensed behaviour. This is set out in full in the refund policy, which forms part of these terms and which you accept separately at checkout.

7. Delivery and availability

Products are delivered digitally through your account immediately after payment is confirmed. We aim to keep the licensing service available at all times, but do not guarantee uninterrupted availability. A temporary outage does not stop an already-activated computer working: it continues on the authorisation it already holds.

At checkout you separately request immediate digital supply and acknowledge that beginning supply may end a statutory cancellation or withdrawal right where applicable law permits. We record both confirmations. This never limits mandatory rights or remedies for a product that is defective, unsafe or not as described.

8. Support and updates

Support is provided by email at support@colormetriclabs.com. Bug-fix and maintenance updates to a product you own are included at no charge. We may release a future major version as a separate paid product; owning one version does not entitle you to a different one.

9. Colour grading service

Colormetric Labs provides project-specific colour grading. You first send us still frames, technical information and a brief. We may decline the request or quote a price for that project. Accepting the quote authorises us to prepare a graded preview, but it does not oblige you to purchase the finished grade. You are not charged until you review the watermarked preview and choose to pay.

Unless the project page expressly states otherwise, the paid contract for the finished grading deliverables is concluded when you submit payment and the payment is accepted. The applicable price is the tax-inclusive price shown immediately before payment.

The usual deliverables are a DaVinci Resolve project file (.drp) and PowerGrade (.drx). These are intended for DaVinci Resolve. They are not equivalent editable projects for Premiere Pro, Final Cut Pro or Avid. A LUT is not an equivalent substitute because it cannot reproduce every window, tracker, qualifier, node, plug-in or project setting used in a grade. You must review the stated software, version, plug-in and system requirements before purchase.

You retain all rights in the footage and other material you provide. You confirm that you own, control, or have sufficient permission to provide that material and instruct us to process it for the project. Where the material shows or otherwise identifies people, you confirm you have obtained whatever permissions, releases or consents those people's rights require for the material to be handled this way — we have no relationship with them and no means of asking. You grant us only the rights reasonably necessary to assess the request, prepare the preview, complete the grade, deliver the agreed files, provide support, protect the service from fraud or misuse, and comply with law. We do not obtain a promotional, portfolio or advertising right unless you separately and voluntarily grant one.

Once payment has been received, the delivered grade and PowerGrade are licensed to you — the person or business that bought them — and not to one production. You may use them indefinitely, on the project they were made for and on any of your future work, with no limit on the number of projects. The licence is personal to you: it is not transferable or sub-licensable, and it does not extend to reselling or redistributing the grade itself as a product. It is subject to any third-party licences stated for the project. Colormetric Labs retains ownership of its pre-existing and general-purpose tools, techniques, templates, node structures, workflows, know-how and other background material. Third-party LUTs, plug-ins, fonts, software and other components remain subject to their respective licences. The deliverables do not include a transfer of third-party software or rights that Colormetric Labs does not own.

We treat material submitted for grading as confidential. We do not disclose it except to service providers needed to operate and secure the service, where necessary to follow your instructions, with your permission, or where disclosure is required by law. Our service providers are bound by appropriate confidentiality and data-protection obligations.

We may decline or stop a project where the material is unusable, the requested result is not reasonably achievable, the request is unlawful, required information is missing, or the work falls outside our stated capabilities. We will explain the reason where reasonably possible. No fee is charged for a project declined before payment. If we cannot complete an accepted paid order, we will refund the affected amount.

Because you review the watermarked graded result before choosing to pay, a change of mind after delivery does not by itself create a contractual refund right. Refunds and remedies remain available for non-delivery, duplicate charging, corrupt or unusable files, material differences from the approved preview, material failure to match what we expressly agreed to deliver, and whenever applicable law provides a right that cannot be excluded. See the refund policy for details.

10. Warranties

We warrant that a product will perform substantially as described on its product page. Beyond that, and to the fullest extent permitted by law, the products are provided “as is” without further warranty of any kind, including any implied warranty of merchantability or fitness for a particular purpose. You are responsible for checking that a product is compatible with your version of DaVinci Resolve and your operating system before buying; the specifications on each product page are there for that purpose.

DaVinci Resolve, Photoshop, operating systems, GPUs and third-party AI services are controlled by their respective vendors and can change independently. Save your project, keep backups of footage and project files, and test a plugin on a duplicate before using it in irreplaceable production work. Workflow panels may add or update timeline, Fusion or project content only when you choose the relevant action. If an update causes a compatibility problem, stop using the affected action and contact support. These practical precautions do not reduce any mandatory right or remedy you have for defective software.

11. Limitation of liability

Nothing in these terms excludes or limits our liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be excluded — including any rights you have as a consumer that cannot be waived by agreement.

Subject to that, we are not liable for loss of profit, loss of business, loss of data, loss of footage or projects, or any indirect or consequential loss, however caused. Our total liability arising out of or in connection with a product is limited to the amount you actually paid for that product.

Colour grading software operates on your footage. Keep your own backups; we cannot restore work that is lost.

12. Ending the agreement

You may stop using a product at any time and may ask us to delete your account. Your licence ends if you materially breach these terms as described in section 5. Sections 9, 10 and 12 survive the agreement ending.

13. Governing law and jurisdiction

These terms are governed by the laws of India. Any dispute arising out of or in connection with them is subject to the exclusive jurisdiction of the courts of Kumta, Karnataka, India.

If you are a consumer resident elsewhere, this does not deprive you of the protection of mandatory consumer-law provisions of your own country of residence.

Before starting proceedings, please write to support@colormetriclabs.com. Most problems are resolved that way.

14. Changes to these terms

We may change these terms for future purchases. The version in effect for a purchase is the version you accepted when you made it, and that version is recorded against your account. We will ask you to accept the current version the next time you buy.
